1. General and acceptance
This document is a public offer under Article 369 of the Civil Code of the Republic of Uzbekistan. Individual Entrepreneur Portenko Bogdan Borisovich (the “Provider”) offers any legal entity or individual engaged in retail trade (the “Customer”) to enter into an agreement for use of the Abersell platform (the “Service”) on the terms below. Acceptance is any of the following: registering an account at abersell.uz; paying for a selected plan; or starting to use the Service. From the moment of acceptance, a paid services agreement on the terms of this offer is deemed concluded between the Provider and the Customer. A separate written contract is not required.
2. Subject matter
The Provider grants the Customer remote access to the cloud-based Abersell platform for managing a retail business, within the selected plan. The Service includes: • POS with receipt printing; • product, service and composite (bundle, bouquet) catalog; • inventory and multi-location stock management; • order intake and fulfillment; • customer base and purchase history; • payment acceptance via integrated providers (Click, Payme); • financial analytics and reports; • staff roles and permissions. Feature scope depends on the selected plan and is published at abersell.uz. The Provider may extend and improve the Service.
3. Registration and access
• Access is granted to registered stores and their employees. • The Customer agrees to provide accurate registration details. • The Customer is responsible for the confidentiality of credentials and for all actions performed under their account. • The Provider may temporarily suspend or restrict access in case of breach of this offer, outstanding payments, or threats to Service security.
4. Pricing, billing and trial
Pricing is published at abersell.uz in Uzbek sum (UZS) per plan. Payments are made in advance for the selected billing period (monthly or yearly). Trial: 14 calendar days from registration, no card required, no auto-charge. After the trial, continued use requires payment for a chosen plan. Refunds for an already activated (paid and started) billing period are not provided, unless required by the legislation of the Republic of Uzbekistan or agreed in writing with the Provider. The Provider may change prices with at least 7 calendar days’ notice. Active subscriptions keep the current rate until the end of the paid period. Taxes and fees apply per Uzbek legislation.
5. Acceptable use
• The Service may not be used for unlawful activities, including trading in restricted goods, money laundering or tax evasion. • Tampering with the Service, bypassing protections, automated load attacks, spam or unauthorized access attempts are prohibited. • Sharing credentials with third parties or providing access outside the Customer’s organization is prohibited. • The Customer is solely responsible for compliance with Uzbek law on cash operations, receipts and consumer settlements, and for obtaining customer consent for personal-data processing when using the customer base.
6. Intellectual property
All exclusive rights to the Service, its design, source code, databases and documentation belong to the Provider. The Customer receives a limited, non-exclusive, non-transferable licence to use the Service strictly within the paid plan and the term of the agreement. Copying, decompiling, reverse-engineering the interface, or any use of the Service to build competing products is prohibited.
7. Customer data
Data entered by the Customer (products, sales, stock, customer base, orders) belongs to the Customer. The Provider processes this data solely to provide the Service. The Customer may export their data at any time. Upon account closure, data is retained for 30 calendar days, for possible export or restoration, and then permanently deleted. 8. Limitation of liability
The Service is provided “as is” and “as available”. The Provider aims for high availability, runs backups and maintains security, but does not guarantee that the Service will be entirely free of outages, interruptions or errors. The Provider is not liable for: indirect damages, lost profits, interruptions caused by circumstances outside its reasonable control (including network or data-centre incidents, third-party actions and payment-provider issues); business decisions made by the Customer based on Service reports; the accuracy of data entered by the Customer. The Provider’s aggregate liability is limited to the amount actually paid by the Customer for the last (current) billing period.
9. Term and termination
The agreement enters into force upon acceptance and remains in effect indefinitely until terminated by either party. • The Customer may stop using the Service at any time by notifying the Provider by e-mail. Amounts paid for the activated period are non-refundable (see section 4). • The Provider may terminate the agreement unilaterally in case of systematic breach by the Customer, with 3 business days’ notice. • The Provider may suspend access in case of payment arrears until full settlement. • Upon termination, Customer data is retained for 30 calendar days and then deleted.
10. Governing law and disputes
These relations are governed by the law of the Republic of Uzbekistan. Disputes are resolved through negotiations. If no agreement is reached, disputes are submitted to the courts of the Republic of Uzbekistan at the Provider’s location (Tashkent).
11. Changes to the offer
The Provider may amend this offer. Material changes are communicated via abersell.uz and/or e-mail at least 7 calendar days before they take effect. Continued use of the Service after the changes take effect constitutes the Customer’s agreement with the new revision. The current version is always at abersell.uz/terms.
